Announcement regarding the press release of the EU Commission

Further to the press release issued by RSDB N.V. on 13 December 2007 announcing that the shareholders meeting of RSDB had rejected the proposal that RSDB should acquire certain European activities of Quebecor World and the press release of 14 December 2007 of the European Commission "Mergers: Commission clears proposed acquisition of RSDB by Quebecor" RSDB announces the following:

From a competition law point of view the proposed transaction would result in Quebecor World acquiring "negative sole control" over RSDB. Because thereof Quebecor World had to make a filing with the European Commission. Clearance by the European Commission was one of the conditions precedent for closing the transaction. The filing was made shortly after the date on which the transaction was announced. This filing has now resulted in the transaction being cleared by the European Commission. Because the other condition precedent that the shareholders meeting of RSDB approves the transaction has not been fulfilled, the transaction will not proceed and the clearance by the European Commission is no longer relevant.
